Forming a Romanian SRL using official sources

Formation involves more than filing articles. Choose an activity, address, governance, tax framework and operational organisation suited to the actual project.

ONRC publishes registration procedures and an online services portal. It supports name reservations, registration, certain amendments, certificates and beneficial-owner procedures.

The classification CAEN Rev.3 defines activities. Codes must reflect actual operations; some activities require permits, qualifications or specific conditions.

Decisions before filing

  • shareholders, capital allocation and director powers;
  • registered office and business locations;
  • main and secondary CAEN activities;
  • permits before or after registration;
  • tax framework, VAT, accounting and invoicing;
  • bank account, financing and beneficial owners;
  • employees, international mobility and employment obligations;
  • commercial contracts, insurance and intellectual property.

Check regulation when the project begins

In 2026, ONRC displays information about share capital increases and the legal deadline. Circumstances and rules may vary; confirm amounts, deadlines and consequences with a Romanian lawyer or accountant before deciding.

VAT registration cannot be inferred from a general rule. It depends on activity, turnover, intra-EU transactions and timing. VIES checks a partner’s number without replacing tax analysis.
